Confirmation Statement (Annual Return Replacement)

Confirmation Statement

An annual filing that every UK company must submit to Companies House to confirm its registered information is up to date.

The confirmation statement replaced the annual return on 30 June 2016 under the Small Business, Enterprise and Employment Act 2015. Every UK company, including dormant ones, must file a confirmation statement at least once every 12 months.

The statement confirms key company details: registered office address, directors and secretaries, share capital and shareholders, SIC codes, and PSC (Persons with Significant Control) information. If any details have changed, the company must update them before or at the same time as filing.

Filing a confirmation statement costs £13 online or £40 by paper. Late filing does not incur a penalty directly, but Companies House may begin strike-off proceedings against companies that fail to file, potentially leading to compulsory dissolution.

BORSCH.AI tracks confirmation statement due dates for all 5.9 million registered UK companies. Companies with overdue confirmation statements are flagged as higher governance risk in our risk scoring system.

Frequently Asked Questions

What happens if I don't file a confirmation statement?

Companies House can start strike-off proceedings (under Section 1000 of the Companies Act 2006), leading to the company being dissolved and its assets passing to the Crown. Directors may also face prosecution.

How often do I need to file a confirmation statement?

At least once every 12 months from either the date of incorporation or the date the last confirmation statement was filed. You can file early, but this resets your 12-month deadline.

What is the difference between a confirmation statement and annual accounts?

A confirmation statement confirms company details are correct, while annual accounts report the company's financial position. Both must be filed separately with Companies House, with different deadlines and penalties.
